LP-01 — Terms & Conditions of Use

Principal contractual terms

1. Introduction

Welcome to Gwen by ICMA (“Gwen”). Gwen is an AI-enabled professional learning, advisory and development platform supporting Accountancy, Finance & Taxation; Human Resources & Employment; Pakistani Corporate, Commercial & Regulatory Law; and related professional learning and judgement.

Gwen operates through three professional modes: KNOW — Tutor (help me understand); SOLVE — Consultant / Advisor (help me solve this); GROW — Coach / Mentor (help me develop). These Terms govern access to and use of Gwen. By activating an account, purchasing or activating a subscription, or otherwise accepting these Terms, the user agrees to be bound by them. A user who does not agree should not activate or use Gwen.

2. Who operates Gwen

Gwen is provided within the professional framework established for Gwen by ICMA. The legal entity responsible for operating, licensing and/or providing Gwen, registered address, and contacts will be published by the operator. Where ICMA and a technology provider or other organisation have separate responsibilities, those may additionally be governed by agreements between those organisations.

3. Nature of Gwen

Gwen is an artificial-intelligence-enabled professional support system. Unless expressly stated otherwise, users interact with an AI system rather than a human ICMA employee, accountant, lawyer, tax practitioner, auditor, HR consultant, Shariah scholar or other professional adviser. Gwen strengthens professional knowledge, analysis and judgement; it does not replace human professional judgement.

4. ICMA relationship

Gwen-generated content does not automatically constitute an official ICMA statement, publication, policy, interpretation, examination answer or question, professional opinion, ruling or institutional position. Unless expressly identified as verified official ICMA material, it must not be represented as such.

5. Eligibility

Membership is available through Student ICMA, Associate ICMA and Fellow ICMA categories. Gwen and/or ICMA may verify status, membership or student numbers, standing and other information reasonably required. Users must not deliberately obtain a category for which they are not eligible.

6. Membership year

All Gwen memberships operate on a calendar-year cycle: 1 January to 31 December. Membership expires on 31 December of the applicable year regardless of join date. Membership does not create a rolling twelve-month entitlement from the join date.

7–8. Membership levels, fees & joining during the year

Subscription is payable monthly. Full-year figures are for transparency and do not mean the entire annual amount is immediately payable on activation. A member joining after 1 January is charged only for remaining months at the same monthly rates. Before activation the platform should display category, monthly fee, commencement, payable months remaining, remaining calendar-year amount and expiry.

9–11. Monthly payment, renewal & change of ICMA status

Recurring payment arrangements should be disclosed before authorisation. Membership expires on 31 December; continued membership requires renewal for the new year with rates disclosed before renewal. Automatic renewal into a new year should not apply unless appropriately disclosed and authorised. If ICMA status changes (e.g. Student → Associate), the Gwen category and fee may update; any increase should be communicated before the revised charge.

12–16. What subscription includes; courses; examinations; separation of charges; disclosure

Subscription provides authorised access per membership category, functionality, these Terms, the Acceptable Use Policy and reasonable technical limits. It does not automatically include separately priced distance-learning courses or examinations. Before paid enrolment or registration, applicable course/exam information and fees should be disclosed. Before confirming a paid transaction, the platform should identify the service, category, fees, remaining period, taxes where applicable, amount payable, frequency and expiry.

17–19. Cancellation

A member may cancel via Gwen or the designated support channel. Unless law requires otherwise, cancellation stops future monthly charges after the effective date; does not retrospectively cancel a period already paid; does not automatically create a refund; and does not automatically cancel separately purchased courses or exams. After paying for the current month, access may continue until the end of that paid period (subject to breach, security risk or law). Cancellation does not make remaining months through 31 December immediately payable. There is no separate cancellation penalty merely for cancelling future monthly payments. Privacy/deletion are governed by LP-02.

20–25. Refunds

Except where required by law, expressly provided, incorrect or duplicate charges, inability to provide a paid service attributable to Gwen/provider, or express approval, subscription, course and examination fees already validly charged are non-refundable. Cancellation of future billing does not itself create reimbursement of a paid period. Incorrect/duplicate charges should be reported to billing/support; confirmed errors should be refunded or corrected. Where a paid service cannot be provided, remedies may include restoration, extension, rescheduling, credit, transfer or refund. Brief interruptions and maintenance do not automatically create refund entitlement. Course fees are generally non-refundable after material commencement/access except as stated or under a course-specific policy. Examination refund/transfer/deferral rights follow examination-specific rules. Approved refunds ordinarily return via the original payment method where practicable.

26–33. Failed payments, retries, access, reactivation, chargebacks

Failed payments may result from insufficient funds, expired credentials, provider rejection, technical or security issues. Gwen may notify and request payment or updated information. Reasonable retries may occur where recurring payments were authorised. Failed payment is not automatic deliberate cancellation; Gwen may continue, restrict or suspend access and may suspend until payment is received. Reactivation after payment does not extend the membership year beyond 31 December. Unless disclosed otherwise, Gwen does not charge a separate failed-payment or late-payment penalty. Payments may be processed by third-party providers. Users who believe a payment is incorrect should contact billing/support where practicable. Fraudulent disputes may result in account restriction. Cancellation does not extinguish amounts validly due for services already purchased; it does not make future monthly subscriptions through 31 December automatically due.

34–36. Authorised access, licence, professional modes

Users must not provide false eligibility, impersonate others, share credentials improperly or circumvent access restrictions. Users receive a limited, revocable, non-exclusive, non-transferable right to access Gwen for authorised educational, personal and professional purposes. Resale, white-labelling, systematic extraction or building a competing service through proprietary extraction is prohibited unless separately authorised. Mode labels (Tutor / Consultant / Coach) describe functionality and do not create a regulated professional relationship.

37–44. AI information, professional reliance, education & Shariah

AI-generated content may be incorrect, incomplete, outdated or based on assumptions. Users must exercise professional judgement; verification importance increases with decision significance. Use of Gwen does not create lawyer-client, accountant-client or other regulated relationships, and Gwen does not independently perform functions reserved for licensed persons (including formal representation, statutory audit opinions, tax representation, certifications and formal Fatwas). Users remain responsible for final decisions. Where available, Gwen may use authorised external research; citations are not blanket endorsements. Users should identify relevant Pakistani jurisdiction where material. Gwen may explain Islamic commercial concepts but does not issue a Fatwa. Users remain responsible for examination and academic-integrity rules.

45–50. User material, IP, output & system security

Users must have lawful authority to submit material and must not submit information that violates law, confidentiality, IP or professional obligations. Do not submit passwords, PINs, OTPs or private keys. Gwen IP remains protected; access does not transfer ownership. Users retain lawful ownership of original submissions and grant rights reasonably necessary to operate Gwen. Users may use generated output for legitimate purposes subject to law and review obligations; output may not be unique. Users must not extract hidden instructions, reconstruct proprietary prompts, circumvent security or reverse engineer protected functionality where prohibited.

51–54. Availability, suspension, outcomes, warranties

Continuous uninterrupted availability is not guaranteed. Access may be suspended or terminated for material breach, non-payment, expiry, loss of eligibility, security, abuse or legal requirements. Gwen does not guarantee examination results, career outcomes, tax outcomes or other particular professional results. To the maximum extent permitted by law, Gwen is provided without guarantee that every output will be error-free, complete, current or suitable without verification. Non-excludable rights remain.

55. Limitation of liability

To the maximum extent permitted by applicable law, neither Gwen’s operator, ICMA nor their officers, employees, representatives, technology providers or authorised service providers shall be liable for indirect, incidental, special, consequential, exemplary or purely economic losses (including profit, revenue, business, opportunity, savings, goodwill, reputation or data).

55.1 Where legally liable, maximum aggregate liability to a user shall not exceed total Gwen subscription fees actually paid by that user during the applicable subscription period giving rise to the claim (not the theoretical full-year equivalent). The cap applies collectively to related claims.

55.2–55.3 Course and examination fees do not increase the subscription liability cap unless expressly stated. Free/sponsored access liability is limited to the minimum required by law where applicable.

55.4–55.6 Operator/ICMA shall not, to the maximum extent permitted, be responsible for loss from failure to verify where Gwen identified uncertainty, assumptions, missing information or recommended specialist advice, or where supplied information was inaccurate/misleading. Final professional decisions remain with the user. Nothing excludes liability that applicable law prohibits excluding.

56–63. Third parties, changes, electronic acceptance, governing law, disputes, severability, waiver, entire agreement

Third-party services may have separate terms; references are not blanket endorsements. Gwen and these Terms may be updated; material changes should be communicated. Communications and acceptance may be electronic and recorded. These Terms are governed by the laws of the Islamic Republic of Pakistan, subject to mandatory law. Informal resolution should be attempted first; formal jurisdiction/arbitration will be published after legal review. Invalid provisions are severed to the minimum extent necessary. No waiver by delay. These Terms with LP-02–LP-06 and applicable course/exam/payment/institutional terms constitute the user framework, subject to any separately executed agreement taking precedence.

LP-02 — Privacy Notice

Personal information processing

1–2. Purpose & responsible organisation

This Notice explains how personal information may be collected, used, processed, stored, disclosed, retained and protected in connection with Gwen. The responsible organisation(s), address and privacy contact will be published by the operator. Roles of ICMA, operator, institutional customers and technology providers are determined by contract and applicable law.

3. Information we may collect

May include account & membership information (name, email, phone, ICMA/student info, organisation, role, category, subscription); user-provided content (questions, conversations, documents, financial and business information); technical information (IP, device, browser, login/session, security and usage logs); and transaction information (plan, payment status, references, billing, courses, exams, refunds, failed-payment and subscription history). Full payment-card credentials should ordinarily be processed by an authorised payment provider rather than unnecessarily retained by Gwen.

4–6. Purposes, AI processing & minimisation

Information may be used to administer accounts and eligibility, provide Gwen, process submissions, subscriptions, payments, support, security, abuse prevention, legal compliance, dispute resolution and recording legal acceptance. Submitted information may be computationally processed by AI systems, including authorised third-party AI/infrastructure providers under contractual and security arrangements. Users should disclose only information reasonably necessary.

7–10. Sensitive information, others’ data, providers, international processing

Do not submit passwords, PINs, OTPs or private keys. Exercise caution with CNIC, bank, health, employee, customer, tax, trade secret and privileged information. Users submitting others’ information must have appropriate authority. Authorised providers may support AI, hosting, security, auth, payments, analytics and communications. Processing may occur outside Pakistan with appropriate safeguards where required. Production providers should be accurately documented before launch.

11–18. Retention, security, incidents, disclosure, user requests, children, changes, contact

Information is retained only as reasonably required for service, accounts, subscriptions, courses/exams, payments, security, legal obligations and operations (final retention schedule to be published). Reasonable safeguards are maintained; absolute security cannot be guaranteed. Security incidents should be investigated, contained, remediated and notified where required. Personal information is not sold merely because a person uses Gwen; disclosure may occur to provide the service, process payments, meet legal obligations or defend rights. Subject to law, users may contact the Privacy Contact about access, correction, deletion and preferences. Where a person cannot independently consent, parental/guardian/institutional authorisation should be obtained where required. This Notice may be updated; material changes should be communicated.

LP-03 — Acceptable Use Policy

Permitted and prohibited use

1–2. Principle & permitted use

Gwen exists to support legitimate learning, professional analysis, decision support and development. Users must use Gwen lawfully, ethically and responsibly, including for professional education, examination preparation, accountancy, finance, taxation, HR, employment, Pakistani corporate/commercial/regulatory law, research, drafting and coaching.

3–5. Unlawful use, professional misconduct, academic integrity

Gwen must not be used to facilitate fraud, theft, financial crime, money laundering, forgery, unlawful tax evasion, bribery, unauthorised computer access, identity theft, harassment, IP infringement or other unlawful conduct. Users must not fabricate accounting/audit evidence, fictitious invoices, falsified statements or tax records, fabricate legal authorities, misrepresent AI output as independent professional opinion, or misrepresent content as official ICMA material. Users must not circumvent examination security, obtain unauthorised exam material, impersonate candidates, defeat proctoring, or misrepresent AI work as independent work where independence is required.

6–9. System security, proprietary information, third-party rights, automated use

Users must not gain unauthorised access, extract credentials, introduce malware, exploit vulnerabilities, disrupt service or conduct unauthorised penetration testing. Users must not obtain or reconstruct hidden instructions, proprietary prompts or security mechanisms, including via prompt injection or uploaded content. Privacy, confidentiality, IP, employment, professional and contractual restrictions must be respected. Unless authorised, users must not scrape Gwen, systematically extract outputs, operate unauthorised bots, circumvent rate limits or commercially share access.

10–11. Enforcement & reporting

Violations may result in warning, feature restriction, suspension, termination, investigation or referral to authorities where required. Enforcement should be proportionate. Suspected misuse or security concerns should be reported to the published security/support contact.

LP-04 — AI & Professional Reliance Notice

Nature and limits of AI-generated information

Gwen is an AI-enabled professional learning, advisory and development system. Unless expressly stated otherwise, the user interacts with artificial intelligence rather than a human professional. KNOW / SOLVE / GROW describe functionality and do not create a regulated professional relationship.

AI-generated information can be incorrect, incomplete, outdated or based on assumptions; confidence of expression does not guarantee accuracy. Independent verification is particularly important for legal rights, tax, financial reporting, employment, regulatory obligations, transactions, investments, audit, litigation and statutory filings.

Gwen can research, analyse, explain, calculate, draft and recommend; the user or responsible organisation remains responsible for the final decision. Gwen-generated content is not automatically official ICMA material. Gwen does not independently perform functions legally reserved for qualified persons, including formal representation, statutory opinions, regulatory approvals, certifications requiring authorised sign-off, and formal Shariah determinations. Gwen may provide Shariah-conscious analysis but does not issue a Fatwa.

The limitation of liability in LP-01 Section 55 applies. Where damages are legally payable, aggregate liability is limited to Gwen subscription fees actually paid during the applicable subscription period giving rise to the claim, subject to non-excludable liabilities.

LP-05 — Cookie & Digital Tracking Notice

Essential and optional digital technologies

Gwen may use cookies and similar technologies where necessary to operate, secure, understand and improve the service. No technology should be described as used unless actually deployed.

Essential technologies may be required for login, authentication, account security, session management, fraud prevention, preferences, load management and core functionality. Disabling an essential technology may prevent the service from operating correctly.

Analytics (where implemented) may help understand usage, performance, errors and feature utilisation. Non-essential analytics should be subject to separate user choice (C-09B).

Marketing technologies, where used, should be clearly identified, distinguished from essential technologies, and subject to appropriate choice (C-10).

Third-party technologies, session vs persistent durations, and the production cookie/tracker inventory will be published to reflect technologies actually deployed. Optional technologies should offer user controls; essential technologies may not be disableable while using the service. This Notice should be updated when technologies materially change.

LP-06 — User Consent, Subscription Acknowledgement & Activation

Interactive acceptance

Required controls must not be pre-selected. Optional choices remain separate from activation. The interactive consent register (C-01–C-11), membership confirmation, subscription summary and Accept & Activate Gwen control are provided on the activation page.
